Key takeaway

An employment confidentiality clause cannot simply contract out of protected disclosures. That exception does not turn a prospective data buyer into an authorised disclosure route.

The confidentiality inventory needs an exception question

An archive contains workplace reports governed by employment confidentiality language. The business owner wants to describe those records in a commercial evaluation. It would be a mistake to answer every disclosure question with either the NDA forbids everything or whistleblowing permits sharing the archive.

Employment Rights Act 1996 section 43J makes covered worker-employer provisions void insofar as they purport to prevent a protected disclosure. That is a specific legal boundary, not the removal of all confidentiality. GOV.UK explains that another kind of disclosure may still be subject to a valid confidentiality clause and points workers towards appropriate advice and routes.

Two purposes in a hypothetical record review

Hypothetical example: a fictional employer holds equipment-safety reports. A worker raises a concern about concealed safety information, while a commercial team separately proposes providing selected historical reports to an evaluator. Neither a report nor a commercial introduction has been sent in this illustration.

The completed review separates those purposes. The first question concerns a possible protected disclosure and the applicable worker, belief, information and route conditions. The second concerns the company’s proposed commercial disclosure and all of its source, personal-data and confidentiality permissions. There is no automatic transfer of permission between the rows.

Proposed actionQuestion to retainCurrent illustrative decision
Worker raises a safety concernDo the protected-disclosure conditions and route apply?Obtain appropriate confidential legal/process advice
Company sends reports to an evaluatorWhich actual rights and restrictions permit this use?Hold records pending the ordinary permission review
Manager treats the NDA as an absolute banDoes section 43J apply to the worker/employer agreement?Correct the absolute statement; assess the actual scope
Team treats an evaluator as a whistleblowing routeWhat legal route supports that particular recipient? No such authority is established by the commercial proposal

Use the current qualifying-disclosure text

Section 43B describes qualifying information through reasonable belief, public interest and specified kinds of wrongdoing, subject to its provisions. Its current text includes health or safety danger and also the sexual-harassment category inserted with effect from 6 April 2026. A copied older checklist can therefore omit a current category.

The article is not deciding whether the fictional report satisfies those conditions. Qualifying information and a protected route are related but different parts of the analysis. GOV.UK describes reporting to an employer, lawyer or relevant prescribed person and cautions about the conditions on other routes.

The section also contains qualifications concerning disclosures that involve an offence and certain privileged legal-advice information. Do not replace an actual legal review with a keyword match for safety. A record’s subject alone does not establish protection for every recipient, person or method of disclosure.

Preserve the concern without repurposing the records

The business can keep the commercial package withheld while the appropriate concern-handling route is assessed. Preserve the relevant records and the actual restriction review. Do not alter the record to make the concern disappear or recast the commercial evaluator as the reporting recipient.

A sensible internal evidence note distinguishes the worker’s concern, the agreement being considered, the question for the responsible adviser and the separate proposed business use. Avoid collecting unnecessary private details in a general sales workspace. The note’s purpose is to route the question accurately, not to adjudicate a worker’s claim.

The confidentiality restriction may be important to the commercial proposal even where it cannot prevent a protected disclosure. Keep both statements available. That allows the rights reviewer to hold or narrow the proposed evaluation without making an overbroad claim about the worker’s ability to raise wrongdoing.

Keep the handoff proportionate

Use rights review for the company’s proposed package and a separate appropriate confidential process for the employment issue. These are different decisions with different recipients. The example supplies no permission to email records, contact a regulator or make a public accusation.

This guide concerns the scoped Employment Rights Act framework, with actual eligibility, routes, exclusions and territorial application requiring qualified review. A VOID fit conversation remains about approved metadata and a possible permissioned introduction. It does not decide whistleblower protection, approve source disclosure or replace a worker’s adviser.
