Use an actual offer if one exists; otherwise label numbers as hypothetical. Include staff time, legal/privacy review, engineering and ongoing costs. Show which costs are incurred before acceptance and how much cash is lost if no deal closes. Keep taxes, accounting treatment and contingent receipts on the adviser’s agenda.

Include the rights being given up.

Exclusivity, perpetual use, broad sublicensing and refresh obligations can matter more than a headline amount. Explain whether the proposed rights affect internal tools, future partnerships or customer commitments. Identify who owns incidents and disputes after delivery.

Set a stopping condition.

Examples include no relevant buyer response, unresolved source rights, preparation costs above a cap or terms that conflict with customer promises. Assign a date and responsible owner. A good exploration can conclude that the company should not license this category; that is still a useful decision.
