Key takeaway

Map each work and right to the actual disposition. A signed company contract and a signed copyright assignment answer different questions.

Start with the operative grant

A document headed data sale says the buyer may use a manual for one project. An attached schedule says all intellectual property transfers. Before reviewing the price, the owner needs to know what the operative words are intended to do. A transaction label cannot reconcile those two promises.

Under the UK Copyright, Designs and Patents Act 1988, section 90 addresses assignments, including partial assignments, and requires a signed writing for an effective copyright assignment. Section 92 defines an exclusive licence through a signed writing authorising the specified right to the exclusion of others, including the grantor. These selected provisions do not establish copyright in every operational fact or validate a particular document.

Map the disposition to identified works and rights

Hypothetical example: a UK company proposes a transaction involving a company-authored manual, contractor photographs and unclassified factual readings. Assume the company’s copyright in the identified manual has been established for this example. Authority over the photographs and protection of the readings have not.

The completed issue map exposes the different drafting decisions. It does not decide that an unsigned historical agreement is unenforceable in every respect, or that a factual dataset automatically carries copyright. The legal reviewer needs the actual works, rights, governing-law analysis and final words.

Proposed itemIntended dispositionEvidence or drafting question
Identified manual textPartial copyright assignment of specified rightsDefine the rights and period; check signed writing by/on behalf of assignor
Same manual, alternative offerExclusive permission for a specified copyright rightResolve exclusion of grantor and others; review section92 formality
Contractor photographsBroad transfer wording proposedAuthority not established; hold pending actual chain of rights
Factual readingsCalled copyright assets in scheduleDetermine protection and other rights; do not infer from the label

Partial does not mean vague

Section 90 permits a transfer limited to specified exclusive acts or part of the copyright period. That makes precision useful: which work, which right, which duration and which retained uses? A phrase such as all project data may conceal several kinds of material with different owners and restrictions.

For the hypothetical manual, the business owner wants to keep an internal use. An assignment proposal and an exclusive-licence proposal need different treatment of that objective. Section 92’s definition expressly includes exclusion of the grantor for the licensed right. Do not assume that the company can keep exercising that right merely because it originally wrote the manual.

A broad commercial exclusivity clause can concern activities or markets beyond a statutory copyright licence. Have the reviewer distinguish those promises. This guide does not decide the full legal effect of a real exclusivity clause or whether a separate retained permission solves the owner’s need.

Keep disposition, signatory authority and source title separate

A manager may have authority to sign an ordinary company contract while the contract fails to identify the copyright disposition the parties intended. Conversely, a document can describe the right clearly while the proposed signatory lacks demonstrated authority. Review both issues against the final version.

The signed-writing requirements here do not supply missing title in contractor material. An assignment by the wrong person cannot be treated as evidence that the company obtained every third-party right. Preserve the creator-agreement chain and exclusions next to the proposed disposition map.

The section 90 and 92 analysis is narrower than a complete UK transaction opinion. Future copyright, electronic execution, moral rights, database rights, confidentiality, personal data and the laws of other territories may require additional review. Record them where applicable rather than announcing a package-wide clearance.

Give the drafter one resolved instruction

For the fictional transaction, the owner chooses to investigate a specifically bounded manual permission and holds the broader transfer schedule. The photographs stay outside the proposed package. The next legal instruction is to reconcile the grant, retained-use objective and required formalities for identified material.

Rights review can retain that map, while offer comparison records the different commercial scope. VOID’s initial referral neither transfers copyright nor appoints a person to negotiate for the owner. An introduction can precede this work, but it does not replace the owner’s separate disposition decision.
