Planning a secure data evaluation

Define the evaluation question.

A recipient asking to “see the data” may be checking structure, rights, completeness or utility. Ask which question needs answering. A field dictionary, metadata inventory or synthetic illustration might resolve the first two structural questions without a real record.

Specify the minimum package.

Agree on categories, period, maximum volume, exclusions and package version. Identify who prepares it and who reviews it before delivery. Limit free text and attachments to what the purpose actually requires. Do not include a broad system export merely because it is easier to generate.

Name the environment and recipients.

Ask who will have access, where material is stored and whether affiliates or subcontractors are involved. Clarify access controls, approved transfer method, logging, incident notification and the retention deadline. Review the proposal with the company’s technical and privacy owners.

• Restrictions on training, copying and onward distribution
• Deletion or return procedure and available evidence

Separate evaluation rights from a license.

An NDA can address confidentiality without answering all use permissions. The evaluation agreement should say whether model training, commercial use or further transfer is allowed. A later production license requires a separate decision; avoid assuming the sample can be used permanently once received.

Keep a record of what moved.

Retain the approved scope, version, delivery date, recipient and evaluation outcome. Follow up on retention obligations even if no deal proceeds. Ask about raw material, derived artifacts and any trained system separately.
