Key takeaway
A nonexclusive label is a starting point. Compare the proposed grant with every relevant existing commitment before telling another buyer which rights are available.
Compare the commitments, not just the label
A company considering a second data license needs a different review from a price comparison. The finance worksheet can show a positive contribution while the proposed grant conflicts with an earlier promise. Start with the exact new material, recipient, use and period. Then ask which existing documents touch any part of that scope.
US copyright law treats an exclusive license as a transfer of ownership and distinguishes it from a nonexclusive license. It also permits subdivisions of exclusive rights to be separately owned. Those distinctions matter where protected material is included, but they do not classify every business record or resolve the other terms of your agreements.
Use the register below to prepare a focused review for counsel. It identifies possible conflicts without declaring which agreement prevails, whether a term is enforceable or whether a proposed AI use is lawful. The US statutory references were checked on 12 October 2026; other jurisdictions and rights need separate analysis.
Work a second offer against the first grant
Hypothetical example: a maintenance company prepared package M-8 containing its own diagnostic notes and selected operational fields from 2023–2025. An existing license with fictional recipient A is described as nonexclusive. For this example, its signed wording nevertheless prohibits licensing the same diagnostic notes to A’s direct diagnostic-software competitors until 31 December 2026. This is an invented contract assumption, not a reported market practice.
Fictional recipient B proposes training, affiliate access and future monthly updates. Assume the responsible commercial reviewer identifies B as falling within the stipulated competitor restriction. A customer agreement also restricts external disclosure of that customer’s attachments. Neither assumption is established for a real archive. The completed review holds the conflicting proposal rather than relying on the word nonexclusive.
| Proposed B scope | Existing commitment to inspect | Completed illustrative decision |
|---|---|---|
| 2023–2025 diagnostic notes | A grant, competitor restriction and end date | Hold B’s overlapping training scope under the stated restriction. |
| Customer attachments in M-8 | Customer disclosure restriction; attachment provenance | Exclude from the proposal unless the required authority is established. |
| Access by B’s group affiliates | B definition of licensee; approved recipient list | List legal entities and hold unnamed affiliate access. |
| 2027 monthly updates | Actual A future-record wording; new source-rights review | Unresolved; a new year alone does not establish available rights. |
| Seller’s internal maintenance use | A retained-use wording; B proposed restrictions | Require both grants to preserve the intended internal activity. |
| Revised offer after exclusions | New package identifier and exact B wording | Recheck all intersections; no approval is inferred from a smaller file. |
Make every conflict traceable to a document
Build one row for each proposed operation that intersects an existing commitment. Record the agreement identifier and version, counterparty legal entity, affected source component, permitted or restricted operation, start and end events, exceptions, amendment evidence and the internal reviewer. Link to controlled documents inside the company. Do not paste confidential agreements into a public inquiry form.
A useful row ends with a specific next action: retrieve the missing amendment, confirm whether the recipient fits a defined class, seek an authorized amendment or remove the affected component. Unknown wording stays unknown. An account manager’s recollection that the first buyer was relaxed about reuse is not the actual grant or an approved change.
In the example, the commercial owner retrieves A’s executed schedule and the data owner maps the diagnostic notes to M-8. Counsel receives the competing clauses and the classification question. The result is a hold on B’s current proposal, with customer attachments separately excluded. These are distinct findings with different evidence owners.
Do not replace a rights review with a priority shortcut
US copyright law distinguishes ownership of a copy from ownership of copyright. Its recording and priority provisions also contain specific conditions for conflicting transfers and nonexclusive licenses. Do not turn them into a blanket rule that the oldest agreement wins, a later signature cancels the first grant or an unrecorded document is irrelevant.
Ask the adviser to examine the actual right, documents, execution and recordation facts where that issue arises. The register helps identify the question; it does not settle priority. A clause about confidentiality, a customer’s disclosure restriction or a privacy obligation may require a different analysis from copyright ownership.
Avoid offering a broad warranty that no competing commitment exists until the appropriate review supports it. If only part of M-8 has been checked, describe that boundary. A changed package name or a new export date should not conceal an unchanged restricted source component.
Recheck the revised proposal before costing delivery
A narrow revision can still introduce a new intersection. B might remove the old notes but add an affiliate, public output or continuing feed that was absent from the first draft. Compare the revised operations and recipients, then record which rows changed and who approved their treatment. Keep permission for a sample separate from permission for the final commercial grant.
Once the proposed rights are supportable, use the incremental second-license guide to calculate new avoidable costs and conditional receipts. Keep unsupported buyer probabilities and exclusivity premiums out of that comparison. A positive cash contribution cannot resolve a conflicting grant.
Use Rights & privacy review for the unresolved authority agenda and Offer comparison to retain the actual clauses. VOID’s initial role is a permissioned named introduction and coordinated handoff, with no upfront seller referral fee. Any conditional receiving-program compensation is disclosed separately. An introduction neither changes an earlier agreement nor grants B access to M-8.
