Key takeaway

A perpetual contract label does not settle statutory termination. Trace the author grant and proposed future use before treating continuity as established.

Follow the author grant behind the company’s permission

A company may hold a written license to training manuals, diagrams or recorded explanations and describe its rights as perpetual. A prospective recipient then asks for unrestricted future reuse. Before accepting that promise, identify the original author, the grant through which the company obtained its rights and the particular US uses that the proposed license would depend on. The age of the company’s own file is not the age or legal character of that grant.

For US grants within its scope, section 203 addresses certain transfers and licenses executed by an author on or after January 1, 1978. Works made for hire and grants by will are outside that provision. The statute permits termination notwithstanding an agreement to the contrary, subject to its conditions. These are reasons to obtain a grant-specific review, not reasons to assume every old company record can be reclaimed.

A fictional archive with three different dependencies

In this hypothetical example, company Cedar has three materials in a proposed 2027–2042 product. An individual author executed a 1990 grant covering the first manual; the example stipulates that it was not a work made for hire. A second item is stipulated to be an employee work made for hire. Cedar has no authorship evidence for a third diagram. These invented facts organize questions for counsel; they do not determine any real grant’s eligibility.

The simple teaching calculation for the first item is 1990 + 35 = 2025. That identifies a possible timing question under the ordinary grant-execution branch, not an effective termination date. Publication grants can require different statutory timing. A five-year window, who may act, notice timing and recordation all matter. No termination notice or termination is assumed in this example.

Put the notice evidence beside the timing question

The Copyright Office explains that notice must be served within the applicable two-to-ten-year period before the effective termination date and recorded before that date. Its recordation guidance does not replace eligibility analysis. A database search or a recorded document should be interpreted with the underlying grant, service evidence and authority of the people acting. Have qualified counsel evaluate their legal effect.

For Cedar’s manual, the review packet would identify the exact grant and amendments, execution and publication facts, relevant authorship evidence, proposed use and any notices actually located. Use unknown where the document is missing. The commercial team should not calculate one anniversary, declare the permission expired and delete material, or assume that silence in the company’s folder proves no termination can occur.

Separate an existing derivative from new development

Section 203 contains a qualified rule allowing continued utilization of certain derivative works prepared under authority of the grant before termination. That provision does not extend to preparing other derivative works after termination. It also addresses rights arising under US copyright law, rather than terminating rights arising under every other law or territory. Neither point supplies a blanket right to keep developing a product.

In the fictional review, Cedar distinguishes a specified existing edition from a proposed new translation and a future model-training operation. Whether any artifact is a qualifying derivative work, and which continuing acts are covered, remain counsel’s questions. Calling all outputs derivatives would skip the classification the reviewer needs. Keep raw source use, an existing edition and each new activity separate in the product specification.

Resolve the dependency before promising the term

Cedar’s completed preparation decision is to leave long-term use of the manual unresolved, obtain the missing diagram provenance and keep the stipulated employee work on its own rights-review path. It can now ask whether a shorter scope, replacement material or a revised commitment is appropriate. It has not declared a termination, authorized disclosure or promised that a recipient can keep using all outputs indefinitely.

The useful record ends with the identified grant, the actual evidence reviewed and the dependency in the proposed product. Ordinary contractual expiration is a separate question: an exit schedule describes agreed events and artifacts, while this review concerns a potential statutory change in an upstream author grant. Have the responsible US copyright adviser settle that dependency before the company warrants future rights it may be unable to support.
